Board of Directors Meeting on February 12th, 2013
Minutes of the Board Meeting for OSgrid, Inc. February 12, 2013
On February 12th, 2013 the following individuals met to discuss the formation of a Nonprofit Corporation and completing the CERTIFICATE OF FORMATION NONPROFIT CORPORATION for submission to the Secretary of State for the State of Texas.
Those attending were Hiro Protagonist, Amy Storm, and Albertlr Landar. The meeting was held at Bade Plaza on the OSgrid. Following Texas law it was mutually agreed by all to have this Board meeting and future Board meetings via the Internet using the OSgrid opensimulator software. It was mentioned that some problems had come up with the Paypal donation system because of false complaints being filed by some ex-users of OSgrid. Because of this and the on going controversy over various policies, that it was important to get the formation of the new Board underway and the application for Nonprofit Corporate status to the state of Texas.
After some discussion it was decided by mutual agreement that Hiro would serve as the President, that Amy would serve as Treasurer, and that albertlr would serve as Secretary. The terms and duties would be expanded in the by-laws at a later meeting of the board.
Albertlr then gave an explanation of the order of what needed to be done legally for the formation of the new Nonprofit Corporation. First it was agreed the name of the new Nonprofit would be OSgrid, Inc. the same as the old organization. Since at least two officers of the old organization had agreed to the transfer to the new organization it was felt that it would be legal to continue with the same name.
The next step would be to apply for a Federal EIN or Employer Identification Number. Albertlr pointed out that if the old organization had filed as a 501(C)(3) Nonprofit with the IRS in the past, that when he applied for a Federal ID for the new organization that would reveal that situation. He would report back later on his findings.
After those two procedures contacting the Secretary of State of California to resolve the problems there with the suspension of the Nonprofit Corporation would follow.
The board members then agreed to adjourn, so that albertlr could complete the required Certificate of Formation Nonprofit Corporation with the state of Texas. The Board members would consult on the wording by email, and once everyone agreed the document would be submitted by albertlr Landar as the official Organizer.
