Minutes of the Board Meeting for OSgrid, Inc. March 7, 2013

A meeting was held on Thursday March 7, 2013 at Bade Plaza and was attended by Hiro Protagonist, Amy Strong, and Albertlr Landar. It was moved to accept the minutes of the February 27th, 2013 minutes as submitted.

Under old business it was mentioned by Albertlr that a page was sent for each board member to sign and have notarized for the Articles of Incorporation which were adopted at the last board meeting. It was also mentioned that the problems with the Paypal account had been resolved, and they were now accepting donations once more, and the funds were available for payment for the expenses.

The ban on Metropolis was brought up. Nebadon had issued the original ban, but the board had not formally approved of that action. Hiro proposed that the board formally vote to continue with the ban until such time as proper communications is established with the Metropolis Grid. Albertlr said that he would like us to reexamine the issue at a later time, and to adopt a formal procedure for bans in the future. Hiro then said “I move that we vote to make the hypergrid ban on the domain 'hypergrid.org', aka metropolis grid, a matter of board policy, pending further advisement and review”. That proposal was adopted by unanimous vote. Albertlr agreed to try to contact the administrators of Metropolis Grid in that regard. Hiro mentioned that there is more flexibility with the HG 2 but for various reasons HG 1.0 was still being used on Osgrid.

A discussion of possible By Laws options were discussed and Albertlr said he would continue to work on those as well as the financial reports for the past several years. Albertlr mentioned that what everyone should be thinking about is voting rights for members. And Hiro said that we needed to consider what constitutes 'membership'. Members being two groups, the first being all those that sign up as members with an avatar name. And the second being those that donate funds to the organization. It was pointed out that the first group could have multiple avatars and we would often have no way to make sure one vote one person was being followed. The second group would have verification of emails by paypal, and that could help to keep that problem from getting out of hand. Albertlr said the second group could be referred to as Friends of Osgrid as a group, and Amy pointed out that she had already been using that designation for several projects she had conducted on Osgrid. But it was decided to explore further discussions on how the Friends of Osgrid would be allowed to function regarding the nomination of board members.

A discussion of the number of board members followed. It was agreed that the Board should have at least 5 board members going forward, with the maximum being 7 if that was felt needed in the future. Also that there would be 3 year terms for the board members which would be staggered. And to allow for 2 consecutive full terms with one year off, should a board member wish to serve again. It was also mentioned that provisions for resignations, terminations and appointment of replacements would be included in the By-Laws.

As no other matters were brought up it was agreed to adjourn the meeting.

Minutes submitted by Albertlr Landar, Secretary.
