Board of Directors Meeting on August 4th, 2014

Minutes of the Board Meeting for OSgrid, Inc. August 4th, 2014

A meeting of the Board of Directors for Osgrid, Inc was held on August 4th, 2014 on OSgrid in world at Bade Plaza. Present were Albertlr Landar, Dan Banner, and Hiro Protagonist.

The first item on the agenda was the appointment for one more year of the past years offices. It was agreed by all that Hiro Protoganist would hold the office of President, that albertlr Landar would hold the office of Secretary and dan banner would hold the office of Treasurer.

A motion to accept the minutes of the previous Board meeting of Dec. 9th, 2013 was made and seconded and passed by the full board.

Next a discussion of the proposed Conflict of Interest Policy occurred. As it was encouraged by the IRS as part of the Tax Exempt Application process and it was felt it was necessary. The proposed policy was based on a sample that the IRS had provided in the past. A motion was made to accept the policy as written, it was seconded and passed by the full board. Albertlr said he was continuing to work on the IRS Tax Exempt application and should have it completed within the next two weeks.

As Hiro Protagonist was providing services to Osgrid, by leasing servers to Osgrid, Inc., he did not participate in the following vote. It was discussed that Hiro Protagonist was a part owner of the Simhost company, and he was providing these services at his cost. The remaining board members Albertlr Landar and Dan Banner agreed that this was a valuable contribution to Osgrid, Inc. And that the relationship with Simhost should continue until such times as the arrangements may need to be changed. This motion was made and seconded. As Albertlr and Dan represented 2/3 of the current board the motion was accepted and passed.

A discussion was then made about prospective candidates for the two vacant board positions. Several people were mentioned and it was decided to ask them if there would be an interest in serving on the board. And other candidates would be suggested at the next board meeting.

The dates of the next Membership Meeting was set for September 21, 2014 at 11 Am Pacific time. Albertlr said he would see that this was posted in the announcements section of the website.

As no other matters were brought up, the meeting was adjourned.
