Board of Directors Meeting on February 27th, 2013

Minutes of the Board Meeting for OSgrid, Inc. February 27, 2013

A meeting was held on Wednesday February 27, 2013 at Bade Plaza and was attended by Hiro Protagonist, Amy Strong, and Albertlr Landar. It was moved to accept the minutes of the February 17th, 2013 minutes as submitted. Albertlr had previously submitted a formal Articles of Incorporation to the other board members for consideration based on the CERTIFICATE OF FORMATION NONPROFIT CORPORATION already submitted to the State of Texas. It was moved to accept the formal Articles of Incorporation as submitted.

A discussion then followed on how best to resolve the current problems with the Paypal account. But it was felt that it would soon be resolved, once all the legal documents had been registered properly.

It was decided to try to resolve the on going suspension of the Organization in California as quickly as possible. And since the application for nonprofit status had to be accomplished for the IRS and Texas that including California also would be the fastest and best approach at this point.

Albertlr said that he would be working on the books for the organization and would try to have that accomplished as soon as possible.

Hiro mentioned that he had made contact with the previous board member who started the organization and if we needed additional information from him he would be available.

Albertlr said he would get his copy of the Articles of Incorporation notarized, and so should Hiro and Amy. Once that was accomplish it can be combined for the official copy to be filed in La Porte, Texas.

As no other matters were pending it was decided to adjourn the meeting.
