Minutes of the Board Meeting for OSgrid, Inc. June 21st, 2015

A meeting of the Board of Directors for Osgrid, Inc was held on June 21st, 2015 on OSgrid in world at Bade Plaza. Present were Albertlr Landar, Dan Banner, and Hiro Protagonist.

The meeting was called to order. This was the first official board meeting that could be arranged since OSgrid was disabled due to a major asset crash back in August 2014. An informal meeting had been called prior to this by the executive committee to get a consensus that all efforts should be made to restore the assets and to spend what was necessary to accomplish this task. As the assets were restored, and OSgrid was now working with those restored assets this meeting was called.

Albertlr mentioned that his 2 year term in office was now ended, and if he was to continue on the Board a new nomination and vote by the other board members was needed. Hiro nominated Larry to a new 3 year term, and it was seconded by Dan Banner. Then a motion was made for every board member to serve in the same capacity for the current year. That was agreed by everyone.

The organization had received approval by the IRS for tax exempt, tax deductible status as of May 15, 2015 with this designation effective back to Feb. 2013 when the organization was first incorporated in Texas. It was agreed that since there was an international problem with identity theft that it would not be appropriate to publish the tax determination letter from the IRS on the Internet. But it would be released to individual funding sources should that be required to solicit contributions for the organization.

Since the asset crash had prevented a meeting of the membership in December of last year, it was agreed to schedule a meeting as soon as possible in order to inform the membership of the state of things, and to hold off on making an announcement of the 501(c)3 designation by the IRS until the membership meeting was held. An announcement would be made setting the meeting on Sunday July 5th at 1 PM Eastern time to be held at Event Plaza.

Albertlr explained that since he was able to file the application to the IRS within their 27 month deadline, the exemption and tax-deductible status was retroactive back to Feb. 19, 2013. And if any person or organization wanted a confirmation of their contribution that would be provided on request. But this coming year there would be an effort to send an emailed confirmation to everyone that contributed during 2015. It was mentioned that going forward, in-kind donations could also be accepted and we could provide confirmation of their value for tax purposes if someone so wished. It was also mentioned that Osgrid, Inc. would now be eligible for government grants, as well as corporate support from large companies.

It was decided to proceed with filing papers in Texas to also make it an official tax exempt organization there.

As there was no other business the meeting of the board was adjourned by consensus.
